Terms of Service

By accessing or using the website efficiency360.tech (the "Site"), operated by Efficiency360 ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Site or our services.

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Site after changes constitutes acceptance of the updated Terms.

Efficiency360 provides business process automation, marketing and sales automation, AI integration, consulting, and training services ("Services") to businesses primarily located in Romania and the European Union.

The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties. These Terms govern general use of the Site and supplement any project-specific agreements.

You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or your organisation. By using our Services, you represent and warrant that you meet these requirements.

When engaging our Services, you agree to:

• Provide accurate, complete, and timely information, access credentials, and materials necessary for project delivery.
• Designate a primary point of contact with decision-making authority.
• Review and provide feedback on deliverables within agreed timeframes.
• Ensure that any data, content, or materials you provide do not infringe on third-party rights.
• Maintain adequate backups of your own data and systems.

All content on the Site — including text, graphics, logos, icons, images, and software — is the property of Efficiency360 or its licensors and is protected by intellectual property laws.

We reserve the right to use general knowledge, techniques, and experience gained during engagements for future projects, provided no confidential client information is disclosed.

Payment terms, amounts, and schedules are specified in individual project agreements. Unless otherwise agreed:

Both parties agree to treat as confidential any non-public information received from the other party during the course of an engagement. This obligation survives the termination of any agreement for a period of two (2) years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

To the maximum extent permitted by applicable law:

• Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data, or business interruption.
• We do not guarantee that automations will be error-free or uninterrupted. Clients are responsible for testing deliverables.

Either party may terminate an engagement with 30 days' written notice. In the event of termination:

• The client shall pay for all work completed and expenses incurred up to the termination date.
• We will deliver all completed work products and provide reasonable transition support.
• Provisions regarding confidentiality, IP, and limitation of liability survive termination.

You may not use the Site or our Services to:

• Violate any applicable local, national, or international law or regulation.
• Transmit malicious code, spam, or any harmful material.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Scrape, copy, or reproduce Site content without written permission.

These Terms are governed by the laws of Romania. Disputes shall be resolved first through good-faith negotiation, then submitted to the competent courts in Sibiu, Romania.
